These Terms & Conditions ("Terms") govern your access to and use of marketmindsadvisory.com (the "Site") and the syndicated research reports, custom research engagements, advisory services, and other products and services offered by Market Minds Advisory ("MMA", "we", "us", or "our").

By accessing the Site, creating an account, placing an order, or otherwise using our services, you agree to be bound by these Terms.

Acceptance of terms

By accessing or using the Site or any MMA service, you confirm that (a) you have read, understood and agree to be bound by these Terms; (b) you are at least 18 years of age and have legal capacity to enter into a binding contract; and (c) if you are accessing the services on behalf of an organisation, you have the authority to bind that organisation to these Terms. If you do not agree with these Terms, do not access or use the Site or services.

Definitions

  • "Report" means any syndicated, off-the-shelf research publication offered for sale on the Site.
  • "Custom Engagement" means a bespoke research, advisory, due-diligence or consulting project commissioned by a Client and documented through a Statement of Work.
  • "Client", "You" means any individual or organisation that accesses the Site, purchases a Report or engages MMA for a Custom Engagement.
  • "Authorised Users" means the individuals permitted to access a Report under the applicable Licence.
  • "Licence" means the rights granted to the Client to use a Report as set out in Section 05.

Eligibility

MMA's services are intended for business and professional users, including operators, strategists, investors, advisors and government policy units. The Site is not intended for use by minors. By using the Site you represent that you meet these eligibility requirements.

Account & security

Certain features of the Site require you to create an account. You agree to: (a) provide accurate, current and complete information; (b) maintain the confidentiality of your login credentials; (c) be responsible for all activities that occur under your account; and (d) notify us immediately of any unauthorised use of your account. We may suspend or terminate your account if we suspect any breach of these Terms.

Reports & licences

All Reports are made available under one of three licence tiers, selected at the point of purchase:

Subject to payment of the applicable fees, MMA grants the Client a non-exclusive, non-transferable, non-sublicensable, perpetual licence to use the Report for the Client's internal business purposes only. The Client may not (without prior written consent):

  • Re-distribute, re-sell, sub-licence, syndicate, post publicly or otherwise share the Report with any third party.
  • Use the Report to provide commercial advisory, consulting or research services to third parties.
  • Remove or alter any copyright, trademark or other proprietary notices.
  • Use the Report in any way that violates applicable law or these Terms.

Quotation of short excerpts (up to 200 words) for non-commercial purposes is permitted provided that proper attribution is given to "Market Minds Advisory" with a hyperlink to marketmindsadvisory.com.

Custom research engagements

Custom Engagements are governed by an executed Statement of Work ("SOW") between MMA and the Client. The SOW will set out the scope, deliverables, timeline, fees, and any specific terms applicable to that engagement. In the event of conflict between an executed SOW and these Terms, the SOW shall prevail solely with respect to that engagement.

Unless otherwise specified in the SOW, deliverables of a Custom Engagement are licensed to the Client on a non-exclusive, non-transferable basis for internal use, and MMA retains all underlying methodologies, models, frameworks and intellectual property.

Pricing & payment

Prices for Reports are displayed on the Site in US Dollars (USD) unless otherwise indicated. Custom Engagement fees are set out in the applicable SOW. All fees are exclusive of applicable taxes, duties, withholdings and bank charges, which are the Client's responsibility.

Payments may be made by credit/debit card, bank wire or other methods accepted by our payment processors (which may include Razorpay, Stripe, PayPal or equivalent). All transactions are processed in accordance with the payment processor's terms. MMA does not store full payment card details on its own systems.

Invoices not paid by the due date may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. MMA reserves the right to suspend access to deliverables and services for overdue accounts.

Refunds & cancellations

Because Reports are digital products delivered immediately upon payment, all sales of syndicated Reports are final and non-refundable, except as set out below or as required by applicable law.

We may, at our sole discretion, offer a refund or credit in the following circumstances:

  • The Report was not delivered within 48 hours of payment and we are unable to deliver it after reasonable efforts.
  • The Report you received is materially different from the table of contents, scope or sample preview published on the Site, and MMA is unable to provide a corrected version.
  • The Report contains a material factual error that affects its core findings, and MMA is unable to issue a corrected version within a reasonable time.
  • A duplicate transaction has been processed in error.

Refund requests must be made in writing to Bilal@marketmindsadvisory.com within 7 calendar days of the original transaction, with sufficient detail for MMA to investigate. Approved refunds will be processed to the original payment method within 14 business days.

Custom Engagement cancellation terms are set out in the applicable SOW.

Intellectual property

The Site, all Reports, deliverables, methodologies, models, software, design, text, graphics, logos, trademarks and other content are the exclusive property of MMA or its licensors and are protected by Indian and international copyright, trademark, database and other intellectual property laws.

"Market Minds Advisory", the MMA logo, and other MMA branding are trademarks of Market Minds Advisory. You may not use these trademarks without prior written consent.

Subject to the licence granted in Section 05, no rights or licences are granted to you under these Terms by implication, estoppel or otherwise.

Acceptable use

You agree not to:

  • Use the Site or services in any unlawful manner or for any unlawful purpose.
  • Attempt to gain unauthorised access to the Site, our systems, or other users' accounts.
  • Introduce viruses, malware, worms, trojans, or other malicious code to the Site.
  • Scrape, crawl, or use automated means to extract data from the Site without prior written permission.
  • Reverse-engineer, decompile or disassemble any software made available through the Site.
  • Use the Site or its content to develop a competing product or service.
  • Misrepresent your identity, employer, or affiliation when using the Site or our services.

Disclaimer of warranties

MMA's Reports, deliverables and services are provided "as is" and "as available". While MMA exercises professional skill and care in preparing all its work, MMA makes no warranties, express or implied, regarding the accuracy, completeness, reliability or suitability of any information, forecast, projection or opinion contained in any Report or deliverable.

Market intelligence involves judgment, assumptions, and forward-looking statements. Forecasts and projections are inherently uncertain. The Client acknowledges that any decision based on MMA's Reports or deliverables is taken at the Client's own risk and that MMA shall not be liable for any business, investment or strategic decision taken in reliance on its work.

To the maximum extent permitted by applicable law, MMA disclaims all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Limitation of liability

To the maximum extent permitted by applicable law, MMA's aggregate liability to the Client arising out of or in connection with these Terms, the Site, any Report, or any Custom Engagement, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the total fees paid by the Client to MMA in the 12 months preceding the event giving rise to the claim.

In no event shall MMA be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings, even if MMA has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Indemnification

You agree to indemnify, defend and hold harmless MMA, its affiliates, officers, directors, employees, agents and licensors from and against any and all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your violation of applicable law; (c) your infringement of any third-party rights; or (d) your misuse of any Report or deliverable.

Confidentiality

Each party agrees to keep confidential the other party's confidential information (including the terms of any SOW, pricing, methodologies, business plans, and any information marked as confidential) and to use it solely for the purposes of performing under these Terms. This obligation survives termination of these Terms for a period of three (3) years.

Term & termination

These Terms remain in effect for as long as you use the Site or our services. MMA may suspend or terminate your access to the Site, your account, or any specific service at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law.

Sections 09 (Intellectual property), 11 (Disclaimer), 12 (Limitation of liability), 13 (Indemnification), 14 (Confidentiality), 17 (Governing law & dispute resolution) and any other provisions that by their nature should survive shall survive termination.

Force majeure

MMA shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil disturbance, pandemic, government action, internet or telecommunication failures, power outages, or labour disputes.

Governing law & dispute resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. The courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, subject to the dispute resolution mechanism below.

The parties shall first attempt to resolve any dispute by good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Pune, India; the language of arbitration shall be English; and the tribunal shall consist of a single arbitrator appointed by mutual agreement (or, failing agreement, in accordance with the Act).

Miscellaneous

  • Entire agreement. These Terms (together with the Privacy Policy and any applicable SOW) constitute the entire agreement between you and MMA regarding the subject matter and supersede all prior agreements and understandings.
  • Severability. If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • No waiver. Our failure to enforce any provision shall not constitute a waiver of that provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. MMA may assign these Terms in connection with a corporate transaction.
  • Changes. MMA may amend these Terms from time to time. The updated Terms will be posted on this page with a revised effective date. Continued use of the Site or services after the effective date constitutes acceptance of the updated Terms.
